Free CRM1. Licence Grant
Subject to payment of applicable fees and compliance with this Agreement, 2659337 ONTARIO INC. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use Ēzidash solely for your internal travel business purposes.
No ownership rights are transferred to you.
2. Intellectual Property
Ēzidash, including all software, source code, object code, designs, workflows, layouts, features, functionality, dashboards, templates, databases, documentation, branding, logos, training materials, processes, and related content, is owned by or licensed to 2659337 ONTARIO INC. and is protected by copyright, trademark, trade secret, and other intellectual property laws.
You may not copy, reproduce, modify, reverse engineer, decompile, disassemble, scrape, mirror, clone, imitate, resell, rent, lease, sublicense, distribute, or create derivative works from Ēzidash or any part of the platform.
You may not use Ēzidash to develop, assist in developing, train, benchmark, or improve any competing software, system, platform, artificial intelligence tool, or travel management solution.
3. User Content and Data
You retain ownership of information and content you enter into Ēzidash, including client records, booking details, invoices, proposals, itineraries, group information, communications, and related business data.
You grant 2659337 ONTARIO INC. a limited licence to host, process, store, transmit, back up, and display your data as necessary to provide, maintain, secure, support, and improve Ēzidash.
You are solely responsible for the accuracy, legality, quality, and completeness of all data entered into Ēzidash.
4. Accuracy, Errors, and Omissions
Ēzidash is a business support tool only. It does not replace your professional judgment, supplier confirmations, accounting records, legal obligations, regulatory duties, or client service responsibilities.
You are solely responsible for reviewing and verifying all invoices, proposals, itineraries, payments, commission records, client information, supplier information, pricing, taxes, reports, dates, deadlines, and communications before relying on them or sending them to clients, suppliers, advisors, or third parties.
5. No Warranties
Ēzidash is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, 2659337 ONTARIO INC. disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise.
This includes warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, security, accuracy, completeness, reliability, compatibility, or that any defect will be corrected.
6. Limitation of Liability
To the maximum extent permitted by law, 2659337 ONTARIO INC. and its directors, officers, shareholders, employees, contractors, developers, advisors, representatives, affiliates, and principals shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or aggravated damages, including:
- loss of revenue or profits
- loss of goodwill or business
- loss of data or clients
- loss of commissions
- business interruption
- substitute services
- claims by third parties
7. Indemnification
You agree to defend, indemnify, and hold harmless 2659337 ONTARIO INC. and its directors, officers, shareholders, employees, contractors, developers, advisors, representatives, affiliates, and principals from and against any claims, losses, damages, liabilities, costs, penalties, fines, expenses, and legal fees arising from:
- your use or misuse of Ēzidash
- your data or client information
- your travel business activities
- your breach of this Agreement
- your violation of law
- your infringement of third-party rights
- errors or omissions in information you enter
- disputes with clients, suppliers, advisors, agencies, contractors, or third parties
8. Acceptable Use
You may not use Ēzidash to:
- copy or compete with the platform
- interfere with security
- access unauthorized accounts
- upload malicious code
- overload the system
- scrape or extract data
- misrepresent your identity
- violate privacy laws
- send spam
- process unlawful content
- use the platform in any way that harms 2659337 ONTARIO INC., Ēzidash, other users, or third parties
9. Account Security
You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
You must promptly notify us of any unauthorized access, suspected breach, or misuse of your account.
2659337 ONTARIO INC. is not liable for losses resulting from unauthorized access caused by your failure to secure your account, devices, passwords, users, or internal procedures.
10. Fees, Billing, and Suspension
Fees are payable according to the package, subscription, order form, invoice, or pricing plan selected.
Fees are non-refundable except where expressly required by law or agreed in writing by 2659337 ONTARIO INC.
We may suspend or terminate access for non-payment, failed payment, chargeback, suspected fraud, security concerns, misuse, or breach of this Agreement.
11. Changes to Features and Services
Ēzidash may be updated, modified, enhanced, limited, suspended, discontinued, or replaced at any time.
We do not guarantee that any feature, integration, report, workflow, template, or function will remain available permanently.
12. Third-Party Services
Ēzidash may integrate with or rely on third-party services, including payment processors, email platforms, hosting providers, booking tools, CRM tools, analytics platforms, artificial intelligence tools, and supplier systems.
2659337 ONTARIO INC. is not responsible for third-party outages, errors, pricing, policies, security, availability, data handling, or service changes.
Your use of third-party services may be subject to separate terms and fees.
13. Privacy and Data Protection
You agree to comply with all privacy, data protection, anti-spam, consumer protection, travel industry, and regulatory laws applicable to your business and your clients.
Where you enter personal information into Ēzidash, you represent that you have all required consents, permissions, authority, and lawful basis to do so.
2659337 ONTARIO INC. will handle personal information in accordance with its Privacy Policy and applicable privacy laws.
PIPEDA applies to many private-sector organizations in Canada that collect, use, or disclose personal information in commercial activities, and it is built around principles such as accountability, consent, limiting collection, safeguards, and openness.
14. Backups and Data Export
We may perform backups for operational, security, or disaster recovery purposes, but we do not guarantee that any specific data can be recovered.
You are responsible for maintaining your own records, exports, accounting files, client communications, supplier confirmations, and legally required business records.
15. Confidentiality
You agree to keep confidential all non-public information relating to Ēzidash, including pricing not publicly posted, training materials, workflows, screenshots, platform structure, business processes, technical information, and product roadmap information.
You may not disclose confidential information to competitors or use it for any purpose outside your authorized use of Ēzidash.
16. Feedback
Any ideas, suggestions, requests, improvements, comments, or feedback you provide about Ēzidash may be used by 2659337 ONTARIO INC. without restriction, compensation, attribution, or obligation to you.
17. Publicity
Unless you notify us in writing otherwise, you authorize 2659337 ONTARIO INC. to identify your agency or business as an Ēzidash user using your business name and logo in customer lists, presentations, marketing materials, and website content.
18. Termination
We may suspend or terminate your access immediately if you breach this Agreement, fail to pay fees, misuse the platform, create security risk, infringe intellectual property, violate law, or act in a way that may harm Ēzidash, 2659337 ONTARIO INC., users, clients, or third parties.
Upon termination, your licence ends immediately.
19. Electronic Agreement
You agree that this Agreement may be accepted electronically, including by clicking "I agree," creating an account, subscribing, paying an invoice, or using Ēzidash.
Ontario's Electronic Commerce Act recognizes that contracts may be formed electronically, including through electronic interactions.
20. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
You agree that any dispute shall be brought exclusively before the courts located in Ontario, Canada, unless 2659337 ONTARIO INC. elects another forum to seek injunctive or equitable relief for intellectual property misuse, confidentiality breaches, non-payment, or unauthorized access.
21. Injunctive Relief
You agree that unauthorized copying, misuse, reverse engineering, disclosure, or infringement of Ēzidash may cause irreparable harm for which monetary damages may be inadequate.
2659337 ONTARIO INC. may seek injunctive, equitable, or emergency relief without posting bond or proving actual damages.
22. Force Majeure
2659337 ONTARIO INC. is not liable for delay, failure, interruption, or loss caused by events beyond its reasonable control, including internet failure, cyberattacks, third-party outages, hosting interruptions, labour disruptions, supplier failures, government actions, natural disasters, war, terrorism, pandemic, power failure, or acts of God.
23. Entire Agreement
This Agreement, together with any applicable order form, pricing plan, invoice, Privacy Policy, and posted terms, forms the entire agreement between you and 2659337 ONTARIO INC. regarding Ēzidash.
If any provision is unenforceable, the remaining provisions remain in effect.
